1. Account Terms

1. You must be 18 years or older to use this Service.
2. You must provide a valid email address and any other information requested in order to complete the signup process.
3. You are responsible for maintaining the security of your account and password. Notellect cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
4. You are responsible for all content posted and activity that occurs under your account.
5. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.

2. Subscription and Payment Terms

1. The Service is offered on a subscription basis. Payment is charged at the start of the purchased subscription period.
2. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
3. Subscription prices are subject to change upon 30 days notice from us. Such notice may be provided at any time, including by posting the information on the Notellect website or via email.
4. Refunds are handled according to our Refund Policy outlined in Section 4.

3. Refund Policy

We offer a 14-day money-back guarantee for the Service. If you are not satisfied with the Service, you may request a full refund within 14 days of your initial purchase. To request a refund, please contact our customer support team at support@notellect.ai.

After the 14-day refund period, no refunds will be issued for cancellations or downgrades.

4. Modifications to the Service

1. Notellect reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
2. Notellect shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

5. Data and Privacy

1. We collect and process your data as described in our Privacy Policy.
2. You retain all rights to the data you upload to Notellect. By using our Service, you grant us a license to access, process, and display your data solely for the purpose of providing the Service to you.
3. You are responsible for ensuring you have the rights to the data you upload to our platform.

6. Intellectual Property

1. The Service and its original content, features, and functionality are and will remain the exclusive property of Notellect and its licensors.
2. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
3. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Notellect.

7. Data Analysis and AI Models

1. Notellect provides AI-powered data analysis. The accuracy and completeness of these analyses are not guaranteed.
2. You acknowledge that AI models can make errors and that you are responsible for verifying the output of our Service before making business decisions based on it.
3. Notellect may use anonymized, aggregated data to improve our AI models and Service. This will not include your confidential information or personally identifiable information.

8. User Responsibilities

1. You agree not to use the Service to:
   • Violate any laws or regulations
   • Infringe on the intellectual property rights of others
   • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
   • Impersonate any person or entity
   • Interfere with or disrupt the Service or servers or networks connected to the Service
   • Collect or store personal data about other users without their express permission

You agree to defend, indemnify and hold harmless Notellect and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (i) your use and access of the Service, by you or any person using your account and password; (ii) a breach of these Terms; or (iii) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
